Terms of Service

These Terms of Service ("Terms") govern your access to and use of the NorthReply platform, including the operator dashboard, embeddable chat widget, and any related APIs or services (collectively, the "Service"). By creating an account or using the Service you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Acceptance

By registering for or using NorthReply you confirm that you are at least 18 years old and have the legal authority to enter into a binding agreement on behalf of yourself or the organisation you represent.

2. Description of Service

NorthReply provides a live-chat SaaS platform that allows businesses to embed a chat widget on their websites and manage conversations through an operator dashboard. Features include real-time messaging, conversation assignment, internal notes, business-hours configuration, and usage-based billing.

3. Account Responsibilities

  • You are responsible for maintaining the confidentiality of your login credentials.
  • You must notify us immediately of any unauthorised access to your account.
  • You are responsible for all activity that occurs under your account.
  • Accounts are non-transferable without our written consent.

4. Acceptable Use

You agree not to use the Service to:

  • Violate any applicable law or regulation.
  • Transmit spam, malware, or other harmful content through the chat widget.
  • Harass, threaten, or deceive any person.
  • Attempt to gain unauthorised access to any part of the Service or its infrastructure.
  • Reverse-engineer, decompile, or create derivative works from the Service.
  • Resell or sublicense the Service without our written permission.

5. Subscription, Billing, and Cancellation

NorthReply offers subscription plans billed on a recurring basis. By providing payment details you authorise us to charge your payment method on the agreed cycle.

  • Free trial. New accounts receive a free trial period. At the end of the trial you must subscribe or your access will be limited.
  • Plan limits. Each plan includes a monthly conversation allowance. Exceeding your allowance may result in service restrictions until the next billing period.
  • Cancellation. You may cancel at any time from your account settings. Your access continues until the end of the current paid period. No partial refunds are issued for unused time.
  • Price changes. We will give at least 30 days' notice of price changes before they take effect on your subscription.

6. Intellectual Property

NorthReply and its licensors retain all rights to the Service, including software, design, trademarks, and documentation. You retain ownership of any content you submit through the Service. By submitting content you grant NorthReply a limited licence to store and transmit that content solely to provide the Service.

7. Disclaimers

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NORTHREPLY'S TOTAL LIABILITY FOR ANY CLAIM ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM. IN NO EVENT SHALL WE BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.

9. Governing Law

These Terms are governed by and construed in accordance with applicable law. Any disputes shall be resolved in the courts of competent jurisdiction. If any provision of these Terms is found unenforceable, the remaining provisions continue in full force.

10. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes via email or an in-app notice at least 14 days before they take effect. Continued use of the Service after that date constitutes acceptance of the revised Terms.
